Le Comptoir de Maurel (hereinafter "LCM" or "Buyer"), a French SAS incorporated in Paris, France, hereby expresses its serious commercial intent to purchase the product described below from the Supplier identified in Section 1 (hereinafter "Seller"), subject to the terms and conditions set forth herein.
Le Comptoir de Maurel (ci-après « LCM » ou l'« Acheteur »), SAS de droit français immatriculée à Paris, exprime par la présente son intention commerciale sérieuse d'acheter le produit décrit ci-dessous auprès du fournisseur identifié à la Section 1 (ci-après le « Vendeur »), sous réserve des termes et conditions énoncés aux présentes.

Confidentialité
The Buyer and the Seller agree to keep strictly confidential all information exchanged in connection with this Letter of Intent, including but not limited to commercial terms, pricing, volumes, product specifications, and the identities of their respective counterparties. This applies equally to any negotiations or transactions that may follow.
L'Acheteur et le Vendeur conviennent de garder strictement confidentielle toute information échangée dans le cadre de la présente Lettre d'intention, y compris les conditions commerciales, prix, volumes, spécifications produit et identités des cocontractants.
Neither party shall share such information with any third party — agent, broker, sub-buyer, competitor, or otherwise — without the prior written consent of the other party.
Aucune partie ne pourra partager ces informations avec un tiers — agent, courtier, sous-acheteur, concurrent ou autre — sans le consentement écrit préalable de l'autre partie.
In particular, the Buyer undertakes not to reveal the identity of the Seller to its own clients or distribution partners, and the Seller undertakes not to reveal the identity of the Buyer's end markets or clients. These obligations remain in force for two (2) years following expiry or termination of this Letter of Intent.
L'Acheteur s'engage à ne pas révéler l'identité du Vendeur, et le Vendeur à ne pas révéler l'identité des marchés/clients de l'Acheteur. Ces obligations restent en vigueur pendant deux (2) ans après l'expiration de la présente lettre.

This Letter of Intent expresses the genuine commercial intent of Le Comptoir de Maurel to move forward with the purchase described herein. It does not constitute a legally binding contract, and neither party incurs any liability should negotiations not result in a final agreement.
Cette Lettre d'intention exprime l'intention commerciale sincère de LCM. Elle ne constitue pas un contrat juridiquement contraignant et n'engage la responsabilité d'aucune partie en cas d'échec des négociations.
A formal Sales Contract or Sales & Purchase Agreement will be drafted and signed by authorised representatives of both parties once all commercial terms have been agreed upon. The confidentiality obligations of Section 6 are legally binding on both parties from the date of signature.
Un contrat de vente formel sera rédigé et signé une fois les conditions commerciales convenues. Les obligations de confidentialité de la Section 6 sont juridiquement contraignantes dès la signature.
